EDOMWONYI OMOROTIONMWAN

Edomwonyi is a graduate of the University of Benin and obtained his Masters of Law degree in Maritime and Commercial Law from the Lagos State University.

He has practiced with the Law Firm of Ejide Sodipo & Co. and Templars, Barristers & Solicitors. Prior to joining Ejide Sodipo & Co., he worked with the Legal Services Division of United Bank for Africa Plc.

He is an Associate Member of the Chartered Institute of Taxation of Nigeria (CITN) and has attended a number of seminars/workshops and specializes in all aspects of Energy law, Maritime and Admiralty Law, Tax, Commercial Litigation and Arbitration.

Edomwonyi has advised extensively on various aspects of law including:

· Various claims relating to maritime and admiralty law;

· Tax exposures to various offshore/local companies.

· Various claims relating to Insurance law;

· Represented the Operator of an Oil Prospecting Licence (OPL) in preparing contractual documents (Memorandum of Understanding, Joint Interest Agreement etc.) with prospective Foreign Technical Partners. Equally represented them in various suits instituted at the Federal High Court of Nigeria and the Lagos State High Court by a third party over their alleged indebtedness for consultancy services rendered by the party prior to the award of the OPL;

· Represented a Company with Italian and American interests in respect of a claim for the enforcement of a Performance Bond issued to it by a Nigerian insurance Company on behalf of a third party due to a breach of a contract for the rehabilitation and maintenance of some oil and gas stations within the Niger Delta region of Nigeria;

· A foremost American Company required a suitable facility that could be leased for carrying out its gas turbine activities within the Niger Delta region of Nigeria. Conducted due diligence, negotiated and drafted all relevant documents for the lease of a facility and equipment sourced from a Port Harcourt based Company;

· Represented an American Company in an arbitration proceeding instituted against it by Chevron Nigeria Limited over indemnification for cost purportedly incurred based on a Contract Service Agreement;

· Incorporated local companies for an Exploration and Production (E & P) Company and advised them on upstream petroleum as well as tax issues;

· Advised an E & P Company on upstream issues including the requirements of divesting a part of its interest in an Oil Prospecting Licence;

· Part of the Team that acted for one of the foremost E & P Company regarding the Reserves Addition Bonus. Reviewed the MOU, advised on its enforceability and the legality of various assessment issued by Nigerian Federal Inland Revenue Service;

· Advised an foreign Company and its Nigerian subsidiary on a Contract for the supply of sub sea production equipment as well as on the applicable tax regimes; Further advised on a contract for the lease of a Support Base and a Combined Facility for its operations;

· Part of the Team that reviewed the draft Cabotage Bill for clients preparatory to the Nigeria House of Representatives hearing on the subject;

· Part of the Team that advised an offshore Company and its Nigerian subsidiary on Customs Regulations covering a contract for the importation and supply of an offshore production platform and recovered sums illegally obtained from them by a Nigerian freight forwarding Company;

· Represented an E & P Company in the negotiation of a Well Services Contract with a third party;
