- Emerald is the Operator of Oil Prospecting License 229. Threshold represented them in preparing contractual documents (Memorandum of Understanding, Joint Interest Agreement etc.) with prospective Foreign Technical Partners. Emerald obtained an initial loan of US$11 Million from Diamond Bank Limited (DBL) to pay its signature bonus on OPL 229, and Threshold represented them by providing opinions on issues bothering on the credit granted to it by DBL. Threshold equally represented them in three separate suits instituted at the Federal High Court and Lagos State High Court by ICS Energy Limited over Emerald's alleged indebtedness for consultancy services rendered by ICS prior to the award of the block (OPL 229) and for the sourcing of the loan from DBL;
- Threshold represented Nuovo Pignone SpA (NP) in respect of a claim for the enforcement of a Performance Bond issued to it (NP) by Equity Indemnity Insurance Company Limited on behalf of Galba Limited due to a breach of a contract for the rehabilitation and maintenance of some oil and gas stations at Escravos Beach, Odidi and Jones Creek in Port Harcourt and Warri areas of Nigeria;
- General Electric (GE) required a suitable facility and equipment that could be leased for carrying out its gas turbine activities in Port Harcourt, Rivers State. Threshold conducted due diligence, negotiated and drafted all relevant documents relevant for the lease of a facility and equipment owned by Oil & Industrial Services Limited and Bekens Limited;
- Threshold represented Total Engineering Services Team, Inc. in an arbitration proceeding instituted against it by Chevron Nigeria Limited over indemnification for cost purportedly incurred based on a Contracted Service Agreement;
- Spinnaker Exploration Company, L.L.C. - Incorporated two local companies for client and advising on upstream petroleum as well as tax issues;
- Pioneer Natural Resources, USA, Inc. has 51% participating interest in OPL 320. Advising client on upstream issues including the requirements of divesting a part of its interest in OPL 320;
- Threshold acted for Mobil Producing Nigeria Unlimited regarding the Reserves Addition Bonus. Reviewed the MOU, advised on its enforceability and the legality of various assessment issued by Federal Inland Revenue Service;
- FMC Technologies Limited was awarded a contract for the supply of sub sea production equipment for the Agbami Project. Threshold reviewed/amended the contract with Star Deep Water Petroleum Limited and advised on the applicable tax regimes;
- Pursuant to the contract signed with Star Deep, advising on a contract for the lease of a Support Base as well as the lease of a Combined Facility for FMC's operations;
- Threshold also reviewed the draft Cabotage Bill for client preparatory to House Hearing on the subject and prior to when it was passed into law;
- Global Offshore International Limited/Global Industries Limited and Global Pipelines Plus (Nigeria) Limited was awarded a contract for the importation and supply of the "Yoho Deck" (Yoho Initial Wellhead YA Project EPC-1) by Mobil Producing Nigeria Unlimited (“MPNU”). Threshold advised on Customs Regulations covering the contract and recovered sums illegally obtained from them by a Nigerian freight forwarding company;
- Threshold has reviewed and represented Emerald Energy Resources Limited in the negotiation of a Well Services Contract with Schlumberger Overseas S.A./Dowell Schlumberbger Nigeria Limited;
- Threshold has advised on tax exposures to Kellogg Brown and Root (KBR) and Dresser Kellogg Energy Services Nigeria Limited (DKESNL) - Halliburton subsidiaries and represented them at different fora (House of Reps, Federal Inland Revenue Service, EFCC etc.) where their activities are being investigated.
